Position Overview:

Platt Richmond is seeking a mid-level to senior-level associate attorney to join our robust and growing transactional practice. This individual would be responsible for assisting the partners in all facets of corporate transactions, including mergers and acquisitions, corporate finance, private placement of securities, entity formation, investment funds and corporate governance. The ideal candidate will have 3-6 years of solid corporate experience.

Essential duties and responsibilities:

  • Assist partners on a broad range of mergers, acquisitions and other business transactions and corporate matters, as well as on a broad range of debt finance, fund formation, securities matters, depending on experience
  • Prepare and/or negotiate a wide range of corporate governance, agreements and other legal documents
  • Conduct or oversee legal due diligence and negotiation
  • Manage and delegate appropriate tasks to paralegals

Qualifications:

  • 3-6 years of relevant experience
  • Strong understanding of corporate law and contract law, understanding of securities law, finance law and regulatory compliance
  • Strong attention to detail
  • Excellent communication and grammatical skills, both verbal and written
  • Genuine, authentic personality
  • Team player; takes direction well; receptive to constructive feedback
  • Proficiency with Microsoft Word and Outlook
  • J.D. and Texas Bar Admittance
